These terms and conditions (“Terms”, “Agreement”) are an agreement between Outdoorer Hub Ltd (“Outdoorer Hub Ltd”, "Outdoorer",“us”, “we” or “our”) and you (“User”, “you” or “your”). This Agreement sets forth the general terms and conditions of your use of the website and any of its products or services (collectively, “Website” or “Services”).

Please read these terms and conditions of use carefully before accessing, using or obtaining any materials, information, products or services. By accessing the website, mobile or tablet application, or any other feature or other Outdoorer platform (collectively, Our Website"), you agree to be bound by these terms and conditions ("Terms") and our Privacy Policy. If you do not accept all of these Terms, then you may not use Our Website.  THESE TERMS INCLUDE AN ARBITRATION CLAUSE AND A WAIVER OF YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE LAWSUIT .

DISCLAIMER

You must not be prohibited from receiving any aspect of our service under applicable laws or engaging in payments related services if you are on an applicable denied party listing.

Age requirement

You must be at least 13 years of age to use this Website. By using this Website and by agreeing to this Agreement you warrant and represent that you are at least 13 years of age.

User content

We do not own any data, information or material (“Content”) that you submit on the Website in the course of using the Service. Billing and payments

By placing an Order for Products through Our Website, You warrant that You are legally capable of entering into binding contracts. 

You shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. If, in our judgment, your purchase constitutes a high-risk transaction, we will require you to provide us with a copy of your valid government-issued photo identification, and possibly a copy of a recent bank statement for the credit or debit card used for the purchase. We reserve the right to change products and product pricing at any time. We also reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. Occasionally there may be information on the Website that contains typographical errors, inaccuracies or omissions that may relate to availability, promotions and offers. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information on the Website or on any related Service is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update, amend or clarify information on the Website including, without limitation, pricing information, except as required by law. You represent and warrant that: (i) You have the legal right to use any credit or debit card(s) or other payment method(s) in connection with any product or service; and that (ii) the information You supply to us is true, correct and complete. By submitting such information, You grant us the right to provide the information to payment processing third parties for purposes of facilitating the completion of Your payment.

Backups

Although regular backups of Content are performed, Outdoorer Hub Ltd does not guarantee there will be no loss or corruption of data. Corrupt or invalid backup points may be caused by, without limitation, Content that is corrupted prior to being backed up or that changes during the time a backup is performed.

Outdoorer Hub Ltd will provide support and attempt to troubleshoot any known or discovered issues that may affect the backups of Content. But You acknowledge that Outdoorer Hub Ltd has no liability related to the integrity of Content or the failure to successfully restore Content to a usable state. You agree to maintain a complete and accurate copy of any Content in a location independent of the Service.

Although this Website may link to other websites, we are not, directly or indirectly, implying any approval, association, sponsorship, endorsement, or affiliation with any linked website, unless specifically stated herein. Some of the links on the Website may be “affiliate links”. This means if you click on the link and purchase an item, Outdoorer Hub Ltd will receive an affiliate commission. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any businesses or individuals or the content of their websites. Your use of our Website and Services grants you no right or license to reproduce or otherwise use any Outdoorer Hub Ltd or third-party trademarks.

Upon receipt of a notification, Outdoorer Hub Ltd will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged content from the Service. You may be held accountable for damages (including costs and lawyer's fees) for misrepresenting that any Content is infringing Your copyright.

Disclaimer of warranty

You agree that your use of Our Website or Services is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. Without limiting the foregoing, neither Outdoorer Hub Ltd nor any of the Outdoorer Hub Ltd provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of Outdoorer Hub Ltd are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components. To the maximum extent permitted by applicable law, in no event shall Outdoorer Hub Ltd or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if Outdoorer Hub Ltd or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose. Indemnification

You agree to indemnify and hold Outdoorer Hub Ltd and its affiliates, directors, officers, employees, and agents harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third-party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content, your use of the Website or Services or any willful misconduct on your part.

Severability

All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.

Dispute resolution

The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of Nairobi, Kenya without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of Kenya. Any dispute, controversy or claim arising out of or in connection to this agreement, or breach, termination or invalidity thereof shall be settled by arbitration in accordance with the Nairobi Centre for International Arbitration Rules. You hereby waive any right to a trial in any proceeding arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

Assignment

You may not assign, resell, sub-license or otherwise transfer or delegate any of your rights or obligations hereunder, in whole or in part, without our prior written consent, which consent shall be at our own sole discretion and without obligation; any such assignment or transfer shall be null and void. We are free to assign any of its rights or obligations hereunder, in whole or in part, to any third-party as part of the sale of all or substantially all of its assets or stock or as part of a merger.

You assign all rights; title and interest in any Feedback You provide Outdoorer Hub Ltd. If for any reason such assignment is ineffective, You agree to grant Outdoorer Hub Ltd a non-exclusive, perpetual, irrevocable, royalty free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.

Changes and amendments

We reserve the right to modify this Agreement or its policies relating to the Website or Services at any time-and for any reason. These changes do not affect rights and obligations that arose prior to such changes. Your continued use of Our Website following the posting of modified Terms will be subject to the Terms in effect at the time of your use. Please review these Terms periodically for changes. If you object to any provision of these Terms or any subsequent modifications to these Terms or become dissatisfied with Our Website in any way, your only recourse is to immediately terminate the use of Our Website.

If you do not agree to abide by the terms of this Agreement, you are not authorized to use or access the Website and its Services.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.
